Factors to consider while selecting a name for company registration/ LLP registration

The primary task of registering a company in India is choosing a unique and memorable name. An easy and memorable name can make your company, a public brand. You should choose a company name as per the company name rules.

The proposed name must not be similar to an existing company/ LLP. The Ministry of Corporate Affairs (MCA) is the authority to accept or reject the proposed name as per company name rules.

Applicants for company name registration must adhere to the Registrar of Companies' naming rules (ROC).

To increase the chances of name approval, you should follow the guidelines listed below.

Avoid Name Similarity

Proposed names must not be identical to an existing company/ LLP (Limited Liability partnership). The differences like change in spelling, words, abbreviation, adjective, tense or spacing would not be accepted.

Trademark

The proposed name should not be matched with a registered trademark database. Consent from the owner of the registered trademark is required to be attached with the application of name approval.

Avoid constitutional names

The proposed name must not be identical or similar to any government functioning bodies.

Approval from Regulatory Body

If your proposed name includes words like mutual fund, Asiatic, bank, stock exchange, venture capitalists, insurance, country name, universal, globe etc. Then it requires the approval from the respective regulatory body.

How to reserve a company name?

To reserve an unique name of company/ LLP, follow the steps listed below:-

    Register on MCA portal

    It is mandatory to register on MCA portal for filing of Form-RUN (Reserve Unique Name)

    File mandatory documents

    Following documents are mandatorily required to submit along with name approval application:

    • Description of business/ commercial activities to be undertaken in proposed Company/ LLP.
    • NOC (No-objection Certificate) from registered trademark owners to use their name.
    • Approval from regulatory body like IRDA, RBI etc.

    Application Filing

    It is optional to file form RUN (Reserve Unique Name). Alternatively, Spice+ form can also be used for name approval along with online company registration process. Two Company or LLP name can be proposed while filing Form RUN (Reserve Unique Name).

    Payment of MCA Fee

    Fees of ₹ 1000 (in case of Company Registration) or ₹ 200 (in case of LLP) is required to be paid on MCA portal. SRN will be generated for tracking the application status.

    Name approval or resubmission

    Generally, RUN application is processed by MCA with in 1 to 2 working days. Proposed names can be approved or rejected on the basis of Company Name Rules.

    Validity

    If the name is being reserved for a new company/ LLP, you have 20 days from the date of approval. If a change in the name of an existing company/ LLP is involved, 60 days from the date of approval is granted.

FAQs on company name search?

Legal name of a business is the name registered at the time of company/ LLP registration. It is totally different from trade name, which is used as brand name of goods and services. Like Mcdonald’s legal name is Mcdonald Corporation.
Yes, it is compulsory to register legal name in India. However, it is optional to register the name as trademark.
