Section 12 of the Companies Act 2013 requires that all companies and limited liability partnerships have a registered office at the time of incorporation or within 30 days of incorporation. A company's or LLP's registered office address is its principal place of business, and all official correspondence from the Ministry of Corporate Affairs (MCA) is addressed to this location exclusively. As a result, any change in the registered office address should be communicated to the RoC or MCA.

Documents required to change the Company Address

The mandatory documents required for the change in the Address of the Registered Office are listed below:

The process to change the registered office address of Pvt. Ltd. Company

Follow this procedure to change the registered office of the Pvt. Ltd. company:

  • To transfer the Registered office from one state to another, the company must update the Memorandum of Association.
  • To amend the MOA, the company must approve a special resolution. Additionally, this special resolution must be filed with the ROC in Form MGT-14 within 30 days of adoption.
  • In order to transfer the Registered office from one state to another, the company must obtain approval from the CG in form INC-23. Along with the application in form INC-23 for a change of registered office from one state to another, the following documents must be attached:
    1. a copy of the company's memorandum and articles of association;
    2. a copy of the notice convening the general meeting, together with any accompanying Explanatory Statement;
    3. a copy of the special resolution authorising the alteration by the company's members; and
    4. a copy of the minutes of the general meeting in which the resolution authorising the alteration was passed, including the number of votes cast.
  • The Central Government shall dispose of an application for a change of registration office outside the state within sixty days of receipt and may, prior to issuing an order, satisfy itself that the change has the permission of the company's creditors, debenture holders, and other interested parties.
  • The CG permission shall be lodged with the Registrars of both the old and new registered offices of the company.
  • The Registrar of the State in which the registered office is being relocated shall record the change and issue a new certificate of incorporation reflecting the move.
