Documents required to change Company Name

The mandatory documents required for the changing of company name are as follows:-

  • To begin, the RoC must receive the Form MGT-14 together with the following documents:
    • Notice of the Extraordinary General Meeting (EGM)
    • Certified copy of the EGM's special resolution
    • The explanation for EGM
    • A copy of the amended Memorandum of Association and Article of Association with the new company name.
  • Once the MGT-14 is approved, the INC-24 e-form accompanying with following papers should be filed within 30 days:
    • A certified genuine copy of the EGM minutes
    • Notice of the Extraordinary General Meeting
    • A copy of any approval order received from any other regulatory authority, such as the IRDA, SEBI, or RBI, if applicable.
    • A copy of the resolution agreement, which includes the names of the members who voted for and against the proposal.
    • A copy of the amended Memorandum of Association and Article of Association with the new business name.
    • Further documents pertaining to any additional information requested as optional attachments.

Procedure for Company name change

To alter the name of a business, you must complete these five steps:

    Adopting a Board Resolution

    A board meeting is to be held at which a resolution to alter the company's name should be passed. The directors should approve the new name and designate one of them or a company secretary (CS) to confirm the new name's availability with the MCA.

    Verifying the Availability of the Name

    The approved person shall submit an application to the MCA in form INC-1 to verify the proposed name's availability. Additionally, you can conduct a search using "check company name" feature given provided MCA . It is critical to conduct a trademark search on the proposed name.

    It is recommended that you shortlist four to five business names before investigating their availability to account for the possibility that these names are already taken or in use.

    Adoption of a Special Resolution

    After confirming the availability of the new name, the company should call an extraordinary general meeting (EGM). A special resolution will be made to alter the name and to amend the AoA and MoA if necessary.

    Submitting an application to the Registrar

    Within 30 days after passage, the special resolution will be presented to the RoC, together with the form MGT-14, which will contain the resolution's specifics.

    Within 30 days after filing the MGT-14, the RoC must receive form INC-24 along with the required fee. This is necessary in order to gain central government permission for the name change. Certain documents must also be accompanied by these two forms.

    Certificate of Incorporation Issuance

    The RoC will issue a new certificate of incorporation reflecting the name change upon complete satisfaction with the application and associated paperwork.
